1. Scope of Application

These General Terms and Conditions (GTC) apply to all contracts between FLAVORBYTES and our customers for the provision of consulting, development, and implementation services in the field of Microsoft Dynamics 365 Finance & Supply Chain Management.

2. Contract Formation

The contract is formed by written order confirmation or by commencement of service provision. Oral side agreements require written form to be effective.

3. Scope of Services

The scope of services to be provided is defined in the service description in the respective offer or contract. Changes or additions require written agreement.

4. Customer Cooperation Obligations

The customer undertakes to cooperate and provide all information, documents, and resources necessary for the provision of services in a timely manner.

5. Remuneration and Payment Terms

Remuneration is based on effort or as a fixed price according to the respective contract. Invoices are due for payment within 14 days without deduction.

6. Copyright and Usage Rights

FLAVORBYTES retains the copyright to all works created in the course of service provision. The customer is granted the usage rights necessary for the agreed use.

7. Warranty

We warrant that the services we provide meet the contractually agreed requirements. Defects must be reported immediately in writing.

8. Liability

FLAVORBYTES is liable for intent and gross negligence. In case of slight negligence, FLAVORBYTES is only liable for breach of essential contractual obligations. Liability is limited to typical and foreseeable damages.

9. Confidentiality

Both parties undertake to treat all confidential information disclosed in the course of cooperation strictly confidential and to use it only for the agreed purposes.

10. Final Provisions

The law of the Federal Republic of Germany applies. Place of jurisdiction is the seat of FLAVORBYTES. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
